Section 1. Introduction

These Website Visitor Terms ("Visitor Terms") are applicable to anyone who accesses www.airdomo.com and/or go.airdomo.com (collectively, and individually, the "Website") but who does not create an account ("You"). These Visitor Terms are available on such webpage and/or link as Airdomo may provide from time-to-time. If and when You create an account at www.airdomo.com and/or go.airdomo.com, then the terms of service You agree to when creating an account shall apply and shall replace these Visitor Terms.

Section 2. Who We Are and How to Contact Us

www.airdomo.com and go.airdomo.com are websites operated by Airdomo Inc. ("Airdomo" or "We"). If You have any questions about these Visitor Terms, please contact us via the Website.

Section 3. By Using the Website You Accept These Visitor Terms

These Visitor Terms are legally binding. By visiting the Website, You confirm that You accept these Visitor Terms and that You agree to comply with them. If You do not agree to these Visitor Terms, or You cannot bind Yourself to them, or the laws under Your jurisdiction make any of these Visitor Terms unenforceable against You, You must not visit the Website, and We grant You no rights to do so.

Section 4. We May Make Changes to These Visitor Terms

We amend these Visitor Terms from time-to-time. Every time You visit the Website, please check these Visitor Terms to ensure You understand the Visitor Terms that apply at that time. If You visit the Website, or continue visiting the Website after these Visitor Terms have been amended, You confirm that You have read, understand and agree to be bound by these Visitor Terms.

Section 5. We May Suspend, Withdraw or Transfer Our Website

Visiting the Website under these Visitor Terms is made available free of charge. We do not guarantee that such visits, or any content on the Website, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Website for business, operational or any other reasons at any time. You are responsible for ensuring that all persons who visit the Website through Your internet connection are aware of these Visitor Terms and other applicable terms and policies, and that they comply with them. We may transfer our rights and obligations under these Visitor Terms to another organization.

Section 6. How You May Use Material on Our Website, Data Rights and Usage Grants

All intellectual property rights in and to the Website belong to Airdomo, except to the extent they included licenses from third parties to Airdomo. Any use of the Website other than as specifically authorized herein, without the prior written permission of Airdomo, is strictly prohibited. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Subject to Your compliance at all times with the terms of these Visitor Terms, We grant to You a limited, revocable, terminable, personal license to use the Website solely for the purpose We intend and solely in compliance with these Visitor Terms and any other terms We may make applicable to You from time-to-time.

If You print off, copy or download or use any part of our Website in breach of these Visitor Terms, then (and without limitation on other remedies available to Airdomo) Your right to visit the Website will cease immediately and You must, at our option, return or destroy any copies of the materials You have made.

Airdomo, its logos and other trademarks on our Website are the property of Airdomo. Other logos and/or trademarks are the property of their respective owners. You are not permitted to use them without approval by the owner and any such permitted use shall be consistent at all times with the owner's usage guidelines, which approval and guidelines may be changed at any time at the owner's sole discretion.

The following definitions apply:

"User Data" means any and all data (including, but not limited to User Listing Data and your Personal Data) provided by You to Airdomo, including, but not limited to, data You upload, publish or otherwise provide to be posted to or on the Website.

"Personal Data" means personal data, as defined under applicable Data Privacy Laws.

"User Listing Data" means any and all data of any kind or format that You upload, submit or otherwise provide to and/or give consent for access to Airdomo in relation to creating, editing and/or maintaining a property listing on the Website, including, but not limited to, property title and description, key property facts (e.g., price, size, bedrooms, bathrooms, closets, utilities, a/c, kitchen amenities, property amenities, access rights, ownership fees and charges, taxes, etc), local resources, photos, images, AI or otherwise modified or generated images, videos, drone footage, audio, address, location map, listing agent name and/or company, listing agent contact information, references and reviews.

"Sales and Transaction Data" means any and all data of any kind or format that Airdomo produces, generates, accesses or finds that is not User Data that Airdomo or is generated by or through the Website in relation to a property listing on the Website or otherwise by Airdomo in relation to the operation of its business, including, but not limited to, property transaction data, property title and description, key property facts (e.g., price, size, bedrooms, bathrooms, closets, utilities, a/c, kitchen amenities, property amenities, access rights, ownership fees and charges, taxes, etc), local resources, photos, images, AI or otherwise modified or generated images, videos, drone footage, audio, address, location map, listing agent name and/or company, listing agent contact information, references and reviews.

"Aggregated Data" means any data Airdomo may collect and enrich, aggregate or summarize (which Airdomo may in any way and in any format use, sell, provide subscriptions to, or otherwise use or monetize in the course of its business (including, but not limited to, the operation, performance and use of the Website for its business purposes, as an asset of Airdomo, or otherwise)).

"Airdomo Generated and Compiled Listing Data" means any and all data of any kind or format that Airdomo produces, generates, accesses, finds or is provided by a third party to or otherwise compiled from third party sources by Airdomo that is not User Data and that Airdomo presents on the Website or uses for its business purposes either in relation to a property listing on the Website or otherwise, including, but not limited to, listing meta data added by Airdomo, property title and description, key property facts (e.g., price, size, bedrooms, bathrooms, closets, utilities, a/c, kitchen amenities, property amenities, access rights, ownership fees and charges, taxes, etc), local resources, photos, images, AI or otherwise modified or generated images, videos, drone footage, audio, address, location map, listing agent name and/or company, listing agent contact information, references and reviews.

"Airdomo Data" means any and all data (including, but not limited to, Sales and Transaction Data, Airdomo Generated and Compiled Listing Data and Aggregated Data) of any kind or nature that is not (a) User Data, or (b) data licensed to or provided to Airdomo by a third party to the extent a third party retains ownership rights to that data.

"Data Privacy Laws" mean any and all US federal, state or local and international data privacy laws that are applicable to personal data properly uploaded in the course of Airdomo's intended use of the Website.

The term Website includes the website, any services offered by Airdomo on or through the Website, and any content, data or other information made available by Airdomo on or through the Website.

Without limitation on any rights of Airdomo to Airdomo Data, You understand that Airdomo may use and analyze information provided to Airdomo in order to (a) provide You with a better experience, (b) provide You with customized recommendations, (c) run statistical analysis; and (d) aggregate Your data and publish results in a way that does not identify You individually. You further agree that Airdomo may disclose certain of User Data to (i) Airdomo's third-party referral partners, including if You were referred to the Website from a referral partner of Airdomo, and (ii) third parties as reasonably necessary to provide and maintain the Website, and as otherwise required by applicable law. Further, to the extent necessary for Airdomo's fullest use of Airdomo Data, you hereby acknowledge Airdomo's rights thereto, and hereby consent to all such use.

Section 7. Acceptable Use of Our Website

You must at all times comply with our Acceptable Use Policy, which is available on the Website.

Section 8. Our Responsibility, Warranties, Limitation of Liability

The content on the Website is provided for general information only. It is not intended to amount to advice on which You should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Website. Although We make reasonable efforts to update the information on the Website, We make no representations, warranties or guarantees, whether express or implied, that the content on our Website is accurate, complete or up to date.

Where the Website contains links to other websites and resources provided by third parties, these links are provided for Your information only. Those links should not be interpreted as approval by us of those linked websites or information You may obtain from them. We have no control over the contents of those sites or resources. Your use of any website or other materials available at or through those links may be subject to additional terms and conditions that are provided by their respective owners and licensors.

THE WEBSITE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS WE EXCLUDE ALL IMPLIED CONDITIONS, WARRANTIES, REPRESENTATIONS OR OTHER TERMS THAT MAY APPLY TO OUR WEBSITE OR ANY CONTENT ON IT.

We do not guarantee that our Website will be secure or free from bugs or viruses. You are responsible for configuring Your information technology, computer programs and platform to access our Website. You should use Your own virus protection software.

We will not be liable to You for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: (i) use of, or inability to use, our Website; or (ii) use of or reliance on any content displayed on our Website. In particular, We will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

Section 9. Your Responsibility, Warranties

You (a) are responsible for complying at all times with these Visitor Terms (including any agreements and policies referenced herein and/or which incorporate by reference these Visitor Terms), (b) are responsible for the accuracy, consents for use by Airdomo, quality and legality of User Data and the means by which You acquired User Data, (c) shall use commercially reasonable efforts to prevent unauthorized access to or use of Website and Content, and notify Airdomo promptly of any such unauthorized access or use, and (d) shall use Website only in accordance with these Visitor Terms and applicable laws and government regulations.

You further commit to the following (a) You certify that User Data is and will at all times be true, accurate, current and complete, and that You are in conformity with all requirements regarding User Data specified in these Visitor Terms; (b) You will have procured and all times maintain all necessary consents from third parties for or related to User Data; (c) provide such materials as Airdomo may request to establish and/or verify Your authority to enter into binding agreements, its legal existence good standing in any jurisdiction, and eligibility to use the Website; (e) promptly notify Airdomo regarding any material changes to information or circumstances that could affect its eligibility to continue to use the Website, (f) be fully responsible for any actions of Yours in accessing and using the Website; and (g) not use the Website in any manner that violates applicable law and these Visitor Terms (including, but not limited to the Policies), or that could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of this Website.

You hereby grant to Airdomo the license rights in User Data and other necessary rights of You in order for Airdomo to provide the Website in accordance with these Visitor Terms, including provision and operation of the Website and Airdomo's business.

You will not (a) use or access the Website for any purpose except Airdomo's intended purpose, (b) sell, resell, license, sublicense, distribute, rent or lease the Website, or include the Website (or any part thereof) in a service bureau or outsourcing offering, (c) interfere with or disrupt the integrity or performance of the Website or third-party data contained therein, (d) attempt to gain unauthorized access to the Website or its related systems or networks, (e) permit direct or indirect access to or use of the Website in a way that circumvents a contractual usage limit, or use the Website to access, copy or use any of Airdomo intellectual property except as permitted under these Visitor Terms, (f) modify, copy, or create derivative works of the Website or any part, feature, function or user interface thereof, (g) frame or mirror any part of the Website other than for Your own internal business purposes, (h) except to the extent permitted by applicable law, disassemble, reverse engineer, or decompile the Website, or access it to (1) build a competitive product or service, (2) build a product or service using similar ideas, features, functions or graphics of the Website, or (3) copy any ideas, features, functions or graphics of the Website. You will at all times comply with the Acceptable Use Policy.

You represents and warrants that (a) You have validly entered into these Visitor Terms with the legal power to do so, (b) Your use of the Website shall at all times comply with the obligations of these Visitor Terms, and (c) that You have made all necessary and appropriate disclosures and obtained all consents required by applicable rules and regulations in connection with any data (personal and non-personal) that You provide to Airdomo in connection with Your use of the Website.

Section 10. Breach of These Visitor Terms

When We consider that a breach of these Visitor Terms has occurred, We may take such action as We deem appropriate.

Section 11. Governing Law and Jurisdiction

These Visitor Terms are governed by the laws of the State of California, without regard to conflicts of laws principles.

Section 12. Compliance with Laws

Your use the Website must at all times be in compliance with all applicable laws, rules, codes and regulations. You agree to fully cooperate with Airdomo, and to disclose all information Airdomo may request, in connection with any investigations by any regulator, enforcement agency or government department. Without limitation on the foregoing, You shall comply with Sanctions Regimes. "Sanctions Regime" means all applicable laws and regulations with regards to anti-bribery, anti-corruption, prevention of money laundering and financing of terrorism, economic sanctions, export controls, import regulations and trade embargoes, (targeted) asset freeze and prohibition to make funds available, travel restrictions, prohibition to satisfy claims, financial measures and restrictions on a variety of financial markets and services, investment restrictions, directions to cease business and other restrictions, in particular, US (e.g., US Export Administration Regulations and other applicable federal laws, regulations and rules that prohibit or restrict the export or re-export of the Website or software outside the US).

Section 13. Dispute Resolution

In the event of a Dispute, the parties agree to the terms of Schedule 1. "Dispute" means any dispute, including, but not limited to, claims arising out of or related to these Visitor Terms, or the breach, termination, enforcement, interpretation or validity thereof, or the use of the Website, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and regardless of whether a claim arises during or after the termination of these Visitor Terms.

Section 14. Privacy

We may use and process Your personal data in accordance with our Privacy Policy.

You must ensure all relevant consents and disclosures have been obtained from all applicable data subjects for all User Data containing or constituting Personal Data. You must maintain evidence of all such consents in auditable form from the date of consent for such a period time as applicable Data Privacy Laws require. You shall provide Airdomo with all reasonably assistance Airdomo requires or requests to assist Airdomo in complying with its obligations under all applicable Data Privacy Laws as those obligations related to data provided to Airdomo by or through Your use of the Website.

Section 15. Term and Termination

These Visitor Terms govern Your visit to the Website and our relationship with You thereunder, as set forth in these Visitor Terms. If You wish to terminate these Visitor Terms, You must discontinue all Your use of and access to the Website. Notwithstanding any such termination, the following Sections of these Visitor Terms shall survive termination for purposes of Your visits to the Website under these Visitor Terms: Sections 1 to 16, excluding Your right to visit or use the Website.

Section 15. Notices and Contact Information

For any notice to or other inquiries regarding the Website or the Website, You should use the contact tools and information made available on the Website. Any notices or other communications specific to You shall be made by Airdomo via email or such other contact information as You have provided to Airdomo. Notices will be deemed to have been delivered when posted to the Website, on the next business day after the date of being sent electronically, and on the following business day from the date of deposit with a nationally recognized overnight courier to a headquarters mailing address of the You or Airdomo, as applicable.

Section 16. Entire Agreement and General Terms

Nothing in these Visitor Terms is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, appoint either party as the agent of the other party, or authorize either party to make or enter into any commitments for or on behalf of the other party. The sole relationship of the parties hereto is that of independent contractors.

You shall not, without the prior written consent of Airdomo, assign its rights or obligations under these Visitor Terms. Any attempt by You to assign or transfer all or any of its rights or obligations under these Visitor Terms without such consent shall be void. Subject to the foregoing, these Visitor Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

If any court or relevant authority determines that any provision of these Visitor Terms is unlawful or unenforceable, all remaining provisions will remain in full force and effect, and the provision at issue shall be deemed modified to the minimum extent permissible under law to effect its original intent. Airdomo retains the right in its sole discretion to terminate Your use of and access to the Website in the event of any such determination that renders a material provision unlawful or unenforceable.

If either party fails to insist that the other party perform any of its obligations under these Visitor Terms, or does not enforce its rights against the other party, or delays in doing so, that party will not have waived any of its rights against the other party, and the other party will be obligated to comply with those obligations. Any waiver must be in a writing signed by the waiving party's authorized representative.

Airdomo reserves the right to update and change these Visitor Terms from time-to-time. Such updates or changes to these Visitor Terms shall take effect from the date indicated in the updated Visitor Terms, or the related notification provided by Airdomo. Airdomo will inform You of such updates and changes to the Visitor Terms in accordance with the notice provisions of these Visitor Terms. Your continued access or use of the Website on or after the effective date of the updates and changes to these Visitor Terms constitutes Your acceptance of any updates and changes. If You do not agree to any updates or changes, You must stop using the Website.

These Visitor Terms together with the policies and other documents referenced herein constitute the entire agreement between Airdomo and You. In case of conflicting provisions of these Visitor Terms and the policies and other documents referenced herein, these Visitor Terms shall govern unless expressly stated otherwise. Except as expressly stated in these documents, Airdomo does not undertake other commitments or obligations to You. You acknowledge that You have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of Airdomo which is not set out in these Visitor Terms, and that You shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Visitor Terms.

Schedule 1 -- Dispute Resolution

This Schedule 1 is referenced in and attached to the Visitor Terms, and is incorporated therein.

1. Management Escalation.

1.1 If You elect to seek resolution of a Dispute, You must first send to Airdomo, by certified mail (signature required), a written notice of Your claim. If Airdomo elects to seek resolution of a Dispute, Airdomo shall send a notice to the then-current email address specified in Your account at the Website and/or using such other method of contacting You as Airdomo deems most effective. The foregoing notices shall describe the nature and basis of the Dispute, and the specific relief sought.

1.2 The parties agree to use good faith efforts using discussion among the parties' respective management to settle any Dispute within thirty (30) days of a party's receipt of notice of a Dispute from the other party. The parties may, by mutual agreement, extend such period by successive thirty (30) day periods.

2. Arbitration.

2.1 Any Dispute arising out of or related to these Visitor Terms that is not resolved under Section 1 of this Schedule 1 (including, but not limited to, any question regarding its existence, applicability, validity or termination), shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), which rules are deemed to be incorporated by reference into this section as modified by these Visitor Terms. The arbitration shall be administered by the AAA. The AAA Commercial Arbitration Rules and filing forms are available online at www.adr.org, by calling the AAA using its current phone number(s), or by contacting Airdomo. You may download or copy a form notice and a form to initiate arbitration at www.adr.org.

2.2 Arbitration shall be conducted by a single arbitrator who is competent in conducting arbitration remotely and who is experienced in the field of enterprise AI technology and service contracts. The arbitration will take place remotely by video conference calls unless either (i) the arbitration requires a physical location in which case it shall be at the primary office of Airdomo as specified by Airdomo at the time, or (ii) the parties mutually agree to a different physical location. The parties will share the costs of arbitration, including the fees and expenses of the arbitrator, equally, unless the AAA Rules and/or the arbitration award provides otherwise. Each party will bear its cost of preparing and presenting its case.

2.3 The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of these Visitor Terms. The arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions on which any and all decisions and awards, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding, and upon request from either party made within fourteen (14) days of the arbitrator's ruling on the merits. During any arbitration, the amount of any settlement offer made by Airdomo or You must not be disclosed to the arbitrator. The arbitrator shall not permit discovery absent a written decision by the arbitrator based on a showing of substantial need by a party based on written submissions of both parties. The arbitrator shall have no authority to award specific performance or any award or damages in excess of the limitations of liability specified in these Visitor Terms. The arbitrator shall state his/her opinions in writing along with his/her reasons for the decision.

2.4 You understand and agree that, by entering into these Visitor Terms, You and Airdomo are each waiving the right to a trial by jury. As limited exceptions to the above, You and Airdomo agree that nothing in these Visitor Terms will be deemed to waive, preclude, or otherwise limit their rights to: (i) pursue enforcement of an arbitrator's award through applicable federal, state, or local judicial or other agencies where such actions are available; or (ii) seek injunctive relief in a court of law to address intellectual property infringement claims.
